Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Hello Linda ("SlapLocal," "we," "us"), which operates the website at slaplocal.com (the "Site") and the local marketing and lead-generation service described below (the "Service"). By using the Site or engaging the Service, you agree to these Terms. If you do not agree, do not use the Site or the Service.

1Who we are & what we do

SlapLocal builds and operates local marketing systems that generate inbound customer inquiries ("leads") for local businesses. We may build, own, and operate websites, listings, tracking phone numbers, and related marketing assets. Where those assets are owned by us, they remain our property; we provide you the resulting leads, not ownership of the underlying assets, unless a separate written agreement says otherwise.

2Applying & eligibility

Submitting the application form on the Site does not create a contract or obligate either party. It starts a conversation. We serve one business per trade, per market (exclusivity), and we may decline or waitlist any applicant. A client relationship begins only when both parties sign a separate written service agreement ("Service Agreement").

3Fees & the qualified-lead trigger

Please read this section carefully. For clients under a Service Agreement, fees are: a one-time setup fee of $1,500 and a recurring service fee of $2,000 per month.

Billing activates when we deliver seven (7) qualified leads within a lead cycle. Once the seventh qualified lead is delivered, the setup fee and the recurring monthly fee become due and payable whether or not you close, answer, or convert any of those leads. Delivering qualified leads is our obligation; closing them is yours.

A "qualified lead" is a genuine inbound contact from a person located in your service area requesting a service you offer, delivered to your designated phone number or inbox. Wrong numbers, spam, solicitations, and non-service inquiries do not count. Each lead is logged with its source and is auditable in your client portal. Our reasonable, good-faith determination of what constitutes a qualified lead, as recorded in the portal, controls.

Payments are processed by our third-party payment provider, Creem. Recurring fees are billed monthly in advance and renew automatically until cancelled per the Service Agreement. Fees are non-refundable except as required by law or expressly stated in the Service Agreement. Late or failed payments may result in suspension of the Service.

4No guarantee of results

Search rankings, call volume, and timing depend on factors outside our control, including the policies and algorithms of third parties such as search engines. We do not guarantee any specific ranking, number of leads beyond the qualified-lead trigger, revenue, close rate, or timeline. Marketing results take time; the risk of the ramp-up period is reflected in the fact that no fees are due until the qualified-lead trigger is met.

5Call recording & tracking

To deliver and verify leads, calls placed to tracking numbers we provide may be recorded, transcribed, and logged. Because we operate in California and other two-party-consent jurisdictions, callers are notified that the call may be recorded. By using the Service, you consent to this recording and tracking and are responsible for any disclosures your own business must make to callers.

7Intellectual property

The Site, the Service, and all marketing assets, software, and content we create remain our property or that of our licensors. You receive a limited, non-exclusive, non-transferable right to use the leads and materials we deliver for your own business only. You may not copy, resell, or reverse-engineer our systems.

8Third-party services & "not affiliated with Google"

The Service relies on third-party platforms (for example, hosting, payment processing, call tracking, and search platforms), each governed by its own terms. SlapLocal is an independent business and is not affiliated with, endorsed by, or sponsored by Google LLC or any other search engine or platform. Trademarks are the property of their respective owners.

9Disclaimers

The Site and Service are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

10Limitation of liability

To the fullest extent permitted by law, SlapLocal will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us in the three (3) months preceding the claim.

11Indemnification

You agree to indemnify and hold SlapLocal harmless from claims arising out of your business, your services to customers, your use of the leads, or your breach of these Terms.

12Termination

Either party may terminate as set out in the Service Agreement. We may suspend or terminate access for non-payment or breach. Sections that by their nature should survive (fees owed, IP, disclaimers, limitation of liability, indemnification, governing law) survive termination.

13Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Orange County, California, unless the Service Agreement provides for arbitration.

14Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date. Continued use after changes take effect constitutes acceptance.
